Friend of Butterfly agrees to accept and obey the following guidelines:  

1. Our Service

Upmost Technology Corp. reserves the right to add, subtract, or modify the service currently provided and promote even better services and activities.

2. Registration

1. The member agrees the information the member enters on Upmost Technology Corp. website is accurate. If there are any changes, please go to the website to update. Upmost Technology Corp. reserves the right to cancel the member membership status without prior notice if we discover any fraudulent activities.

2. Fields labeled with * must be filled in order to compete the registration process .

3. To protect membership-only rights, each member can only have one set of account name and password .

3. Managing the member membership information

Please keep the member account name and password safe. The member may not share, lend or transfer the member account name and password to a third party. The member is solely responsible for using the member account name and password . If the member suspect the member account is stolen, notify Upmost Technology Corp. right away.

4. The member privacy

1) Upmost Technology Corp. will not disclose the member personal information without the member consent, except in the following scenarios:

As stated by the law;

As requested by law enforcement agencies or any other governmental agencies via lawful procedures; to protect the property and rights of this website.

2) The member agree that The member information will be collected, processed, stored and used by Upmost Technology Corp., its subsidiaries or businesses with partnership agreements with Upmost Technology Corp. to provide related information or services, for statistical purposes, for web behavior researches, for any other legal means or for other services.

3) Reasonably safe technology and procedures are used to protect the member information, but there are risks transmitting personal information over the internet. We do our best to keep the member personal data safe but we cannot guarantee 100% safety for any member information during transmitting or receiving. Hence Upmost Technology Corp. is not responsible for that risk.

5. Following laws and regulations

The member agrees to obey ROC laws concerning the usage of the internet. Because there are no borders on the internet, the member must agree to obey the laws and regulations for the member locality and related international internet regulations and courtesies.

6. Modifying and ending the service

1) Upmost Technology Corp. reserves the right to modify or end its services without prior notice. It's up to the member to find out the changes. The member is perceived to accept any modifications made if the member continues to use services provided by Upmost Technology Corp. website after the modifications. Upmost Technology Corp. will not be responsible for any loss, inconvenience, and error caused by service interruptions or terminations.

2) Members have no right to modify these guidelines.

3) Upmost Technology Corp. can suspend or terminate its services in the following scenarios:
a) When the network is down;
b) Service interruptions caused by natural disasters and other irresistible forces;
c) During network maintenance and repairs;
d) When the management policy of Upmost Technology Corp. changes.

7. Limitations of Liability

1) Upmost Technology Corp. does not guarantee any services provided by the website nor does it provide any compensation for any direct, indirect, attached, extended or special damages caused by the usage of services. If all or some of the services from this site is interrupted temporarily, delayed, or cause error in transmissions or storage, or caused to damage to the member because of a third party hacking into the system, the member may not ask for any compensation from Upmost Technology Corp.

2) Members agree to be self-responsible for any risk caused by using the website.

8. Limits for compensation

Other than what's listed in 7, for cases where this site is responsible, the limit for the amount of compensation is the amount for the price of the item. If no items are involved, the highest amount for compensation is NT$1,000.

9. Member's liability

If the member violates any law or anything in this agreement and in term and causes a third party to request compensation, the member agrees to compensate Upmost Technology Corp., its employees and other related personnel for fees and cost incurred (including but not limited to lawyer fees).

10. Termination of the membership

1) The member can terminate the membership anytime by notifying the Upmost Technology Corp. website in writing.

2) The member agrees Upmost Technology Corp. web site can terminate the account, password or privilege of using the website without prior notice when it is determined that the member violates anything listed in this agreement. The member may not ask for any damages.

11. Intellectual Property Rights

The patent rights, authorship rights, logo rights, intellectual rights and other rights of creations, pictures, illustrations, files, videos, software and information published on the Upmost Technology Corp. website belongs solely to Upmost Technology Corp. or its owner. The member may not copy, transmit, modify, edit or used in any other way without a written consent from the Upmost Technology Corp. website or its owner. Violators will be persecuted to the full extend of the law.

12. General agreement

1. The definition and the effectiveness of this agreement shall be governed by and construed in accordance with the laws of the Republic of China.

2. If any one or all of the terms is held invalid, the effect of other terms isn't affected.

3. Should any dispute or controversy happens between the parties with respect to this agreement, the member and Upmost Technology Corp. hereby submit and consent to the non-exclusive jurisdiction of the Shih-Lin District Court.
